Terms of Service

These Terms of Service ("Terms") govern the relationship between Barquecon Technologies Pvt. Ltd. ("Barquecon", "we", "our" or "us"), a company incorporated in India, and any individual or entity ("Client" or "you") that engages our software development, mobile app, IoT, cloud, consulting or related services.

By engaging our services or signing a project agreement with us, you agree to be bound by these Terms.

1. Scope of Services

Barquecon provides software engineering, mobile and web application development, IoT development, cloud services, UI/UX design, quality assurance, and related technology consulting services. The specific scope, deliverables, timelines and fees for each engagement are defined in a mutually agreed Statement of Work (SOW) or project agreement.

2. Payment Terms

Invoices are issued as per the payment milestones defined in the project agreement.
Payment is due within 15 days of invoice date unless otherwise agreed in writing.
Late payments may attract interest at 1.5% per month on the overdue amount.
Barquecon reserves the right to pause or suspend work on any project where invoices are overdue by more than 30 days.
All fees are exclusive of applicable taxes (GST or equivalent) unless otherwise stated.

3. Intellectual Property

Client-owned deliverables: Upon full payment of all invoices, Barquecon assigns to the Client all intellectual property rights in the custom code, designs and deliverables specifically created for the Client under the project agreement.
Barquecon IP: Barquecon retains ownership of all pre-existing tools, frameworks, libraries, methodologies and internal utilities used in developing the deliverables. The Client receives a perpetual, non-exclusive licence to use such components as embedded within the deliverables.
Open-source components: Any open-source software incorporated into deliverables remains subject to its respective open-source licence.

4. Confidentiality

Both parties agree to keep confidential any proprietary information, trade secrets, business data or technical specifications disclosed by the other party during the engagement. This obligation survives the termination of the project for a period of 3 years. Barquecon will sign a mutual Non-Disclosure Agreement (NDA) upon request prior to project commencement.

5. Client Responsibilities

Provide timely, accurate requirements, feedback and approvals to avoid project delays.
Ensure that any content, data, logos or third-party assets provided to Barquecon are owned or properly licensed for use.
Designate a project point of contact who is available for regular communication.

6. Revisions and Change Requests

Changes to the agreed scope of work will be managed through a formal change request process. Significant scope changes may result in revised timelines and fees, which will be agreed in writing before implementation begins.

7. Warranties and Limitation of Liability

Barquecon warrants that services will be performed with reasonable skill and care in accordance with industry standards.
Barquecon provides a 30-day bug-fix warranty on delivered software for defects that are reproducible and attributable to our development work.
To the maximum extent permitted by law, Barquecon's total liability under any project shall not exceed the total fees paid by the Client for that project in the 12 months preceding the claim.
Barquecon is not liable for indirect, consequential, incidental or special damages arising from the use of delivered software.

8. Termination

Either party may terminate the engagement with 30 days' written notice.
Upon termination, the Client shall pay for all work completed up to the termination date.
Barquecon will deliver all completed work product to the Client upon receipt of final payment.

9. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts of Pune, Maharashtra, India.

10. Amendments

Barquecon reserves the right to update these Terms from time to time. Material changes will be communicated to active clients. Continued engagement with our services after any change constitutes acceptance of the updated Terms.
